These Terms of Service (Terms) govern your access to and use of the Coinner platform available at https://dydx.coinner.co (the Platform), operated by Coinner (Coinner, we, us, or our).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

1. Service Overview

Coinner provides a cloud-based software platform that allows users to configure and run automated trading bots connected to their own dYdX v4 accounts using API access.

• Does not custody user funds
• Does not act as a broker, exchange, or financial intermediary
• Does not provide investment advice
• Does not execute trades outside of user-defined configurations

All trading activity occurs directly on dYdX and remains under the user’s control.

2. Eligibility

You must:

• Be at least 18 years old
• Have the legal capacity to enter into these Terms
• Comply with all applicable laws and regulations in your jurisdiction

3. Account Registration

To use the Platform, you must create a Coinner account and connect one or more dYdX accounts via API credentials.

You agree to:

• Provide accurate and up-to-date information
• Maintain the security of your login credentials
• Use only API keys with trading permissions
• Notify Coinner immediately of unauthorized access or security concerns

You are solely responsible for all activity performed through your account.

4. API Keys & Exchange Connectivity

You authorize Coinner to use your dYdX API keys strictly to:

• Place, manage, and cancel orders
• Monitor positions and balances
• Execute bot logic based on your configuration

Coinner does not request or use withdrawal or transfer permissions. You may revoke access at any time by deleting API keys from dYdX or disconnecting accounts within the Platform.

5. Use of the Platform

You agree not to:

• Violate any applicable law or regulation
• Interfere with the security or operation of the Platform
• Attempt unauthorized access to systems or data
• Use the Platform in a manner that could harm Coinner or other users

Coinner reserves the right to suspend or terminate access if misuse, abuse, or security risk is detected.

6. No Financial Advice

The Platform is provided for automation and execution purposes only. Coinner does not provide:

• Investment advice
• Trading recommendations
• Financial, legal, or tax advice

You acknowledge that:

• Trading derivatives involves significant risk
• Past performance does not guarantee future results
• You are solely responsible for your trading decisions and outcomes

7. Risk Disclosure

By using the Platform, you understand and accept that:

• Markets may move rapidly and unpredictably
• Automated strategies can incur losses
• Positions may remain open during strong trends
• Margin usage and liquidation risk are your responsibility

Coinner is not responsible for trading losses, missed executions, or adverse market conditions.

8. Availability & Maintenance

Coinner aims to provide reliable service but does not guarantee uninterrupted availability.

The Platform may be unavailable due to:

• Maintenance or updates
• Infrastructure issues
• Third-party service outages (including dYdX)

Services are provided “as is” and “as available”, to the maximum extent permitted by law.

9. Intellectual Property

All software, branding, and content on the Platform are owned by Coinner.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes, subject to these Terms.

10. Third-Party Services

The Platform integrates with third-party services, including dYdX. Coinner is not responsible for:

• Third-party platform availability
• Exchange rules, fees, or restrictions
• Actions taken by dYdX or other third parties

Your use of third-party services is governed by their own terms and policies.

11. Limitation of Liability

To the maximum extent permitted by law:

• Coinner is not liable for trading losses
• Coinner is not liable for indirect or consequential damages
• Coinner is not liable for unauthorized account access due to user negligence

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

12. Indemnification

You agree to indemnify and hold harmless Coinner from claims, damages, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your trading activity on dYdX

13. Account Termination

You may stop using the Platform at any time and request account deletion by contacting support@coinner.co.

Coinner may suspend or terminate access if required for security, compliance, or legal reasons.

14. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on the Platform with a revised effective date.

Continued use of the Platform constitutes acceptance of the updated Terms.
